Advertiser Agreement

This Advertiser Agreement is the binding contract between eFind and you when you use the Advertising Services to plan, create, run, measure, or pay for Campaigns. It sets out what you may advertise, how your Advertisements are reviewed, how you are billed, and the rights and responsibilities that both parties accept. Please read it carefully, because by creating an Account, submitting a Campaign, or spending on the Advertising Services you agree to be bound by it.

Purpose

The purpose of this Agreement is to state, in plain and enforceable terms, the deal between eFind LLC (“eFind”) and an Advertiser. It explains who may advertise with us, how Campaigns are created and reviewed, what content is allowed and what is not, how much you pay and when, and how each party is protected if something goes wrong. Advertising is a promise to Users and to Publishers as much as it is a transaction between us, so this Agreement is written to keep that promise trustworthy for everyone who sees the Advertisements you run.

Scope

This Agreement governs your access to and use of the Advertising Services, together with the Advertising Policies, the Terms of Service, and every other Policy that the Advertising Services reference. It applies to all Campaigns, all Advertisements, all Advertiser Content, and all use of the Account, the API, and any reporting or measurement tools we make available. If a separate signed insertion order or master services agreement exists between you and eFind for a specific engagement, that document controls only where it clearly conflicts with this Agreement, and only for the matter it governs; everything else in this Agreement continues to apply.

Who It Applies To

This Agreement applies to you as an Advertiser and to every Authorized User who accesses the Advertising Services through your Account. If you use the Advertising Services on behalf of a client, an employer, or another organization, this Agreement applies to that organization as well, and you confirm that you are authorized to bind it. Agencies, resellers, and consultants who manage Campaigns for others are responsible for the Accounts they operate and for making sure their clients meet the requirements of this Agreement.

Definitions

Capitalized terms used in this document, such as Advertiser, Campaign, Advertiser Content, Advertising Services, and Personal Information, have the meanings given in the Master Definitions. Where this Agreement uses a term that is specific to advertising and not defined in the Master Definitions, it is defined inline where it first appears. The words “includes” and “including” are meant to give examples and do not limit what comes before them.

Eligibility

To use the Advertising Services you must be at least eighteen years old, or the age of majority in your jurisdiction if that is higher, and you must be able to form a legally binding contract. If you are acting for an organization, that organization must be validly formed and in good standing. You may not use the Advertising Services if you are barred from doing so under Applicable Law, if you are on a government sanctions or denied-party list, or if eFind has previously terminated your Account for cause. You are responsible for making sure that your use of the Advertising Services, and the products and services you advertise, are lawful in every place your Advertisements are shown.

Business Verification

Before or after you begin advertising, eFind may require Business Verification to confirm your identity, the legitimacy of your business, your authority to advertise the products or services in your Campaigns, and your right to use the payment methods on your Account. Verification may include reviewing identity documents, business-registration records, tax identifiers, beneficial-ownership information, website and domain ownership, and payment credentials. You agree to provide accurate, current, and complete information when we ask, and to update it promptly if it changes.

eFind may pause delivery, hold funds, or decline to run Campaigns until verification is complete. We may re-verify at any time, including when your spend increases, when you enter a Restricted Industry, or when we detect a change in ownership or control. Providing false, misleading, or borrowed verification information is a material breach of this Agreement.

Accounts and Authorized Users

Your Account

You access the Advertising Services through an Account. You are responsible for everything that happens under your Account, including all Campaigns, all Advertiser Content, all charges, and all activity by your Authorized Users. You must keep your login credentials secure, use them only as permitted, and tell us promptly at support@efind.com if you suspect unauthorized access. eFind is not responsible for loss that results from your failure to secure your Account.

Authorized Users

You may permit Authorized Users, such as employees, agents, and contractors, to access the Advertising Services on your behalf. You must ensure that each Authorized User complies with this Agreement and the Policies, and you remain fully responsible for their activity as if it were your own. You must promptly remove access for any person who should no longer have it. eFind may require that Authorized Users have individual credentials and may set role-based permissions to help you control access.

Agencies and Managed Accounts

If you manage Accounts or Campaigns for other Advertisers, you represent that you have authority to act for each client, that each client has agreed to terms consistent with this Agreement, and that you will not commingle client funds or Campaigns in a way that obscures who is responsible for a Campaign. Both the agency and the underlying Advertiser may be treated as responsible for a Campaign run through a managed Account.

Campaigns

A Campaign is the structured set of Advertising Services activity you create to pursue an advertising objective, including its Advertisements, targeting, budgets, Bids, schedules, and settings. You are responsible for configuring your Campaigns accurately and for the outcomes of the settings you choose. eFind provides tools, estimates, and recommendations, but you decide what to run, whom to target, how much to Bid, and how much to spend.

Delivery of Advertisements depends on many factors, including auction dynamics, available inventory, targeting, quality signals, Brand Safety controls, and Applicable Law. eFind does not guarantee any particular volume of Impressions, Clicks, Conversions, placement, position, cost, or return. Metrics, forecasts, and reporting are provided on a reasonable-efforts basis and may be adjusted for Invalid Traffic or measurement corrections as described in the Invalid Traffic Policy. You must not target Users in ways that Applicable Law or the Advertising Policies forbid, including targeting that relies on Sensitive Personal Information without a lawful basis or that enables unlawful discrimination.

Editorial Review

eFind may review any Advertisement, Landing Page, targeting configuration, or other Advertiser Content, before or after it runs, to check compliance with this Agreement, the Advertising Policies, and Applicable Law. Review may be automated, manual, or both, and may use AI-assisted systems to screen content at scale. Review is a right, not an obligation: the fact that eFind reviews or does not review your Advertisements does not make eFind responsible for them, and it does not relieve you of your own responsibility to comply.

Ad Approval

Approval of an Advertisement means only that it passed the checks applied at the time of review. Approval is not a warranty that the Advertisement is lawful, accurate, or non-infringing, and it does not waive eFind’s right to re-review, limit, pause, or remove the Advertisement later. eFind may condition approval on changes, additional verification, geographic limits, or certification, particularly for Restricted Industries. An approved Advertisement remains subject to this Agreement and the Policies for as long as it runs.

Ad Rejection

eFind may reject, disapprove, limit, or remove any Advertisement, Campaign, or Advertiser Content at any time, with or without prior notice, if it violates or is likely to violate this Agreement, the Advertising Policies, or Applicable Law, or if it poses a risk to Users, Publishers, or the reputation of the Advertising Services. Where practical, eFind will tell you the general reason for a rejection so that you can fix the problem. Repeated or serious violations may lead to Suspension or Termination. You may ask us to reconsider a decision by contacting support@efind.com, and we will review reasonable requests in good faith, but the final decision about what runs on the Advertising Services rests with eFind.

Payment

You agree to pay all charges that accrue under your Account, including amounts for Impressions, Clicks, Conversions, or other billable events, at the prices and on the terms in effect when the charges accrue. You authorize eFind and its payment processors to charge your selected payment method for those amounts, plus applicable Taxes. Depending on your Account, eFind may bill on a prepaid basis, in which you fund a balance that is drawn down as your Campaigns deliver, or on a postpaid basis, in which you are invoiced for delivery over a billing period.

If a payment method is declined, expires, or is otherwise unavailable, eFind may pause delivery, retry the charge, and require a valid payment method before Campaigns resume. Amounts not paid when due may accrue interest at the lower of one and one-half percent per month or the maximum rate allowed by Applicable Law, and you are responsible for reasonable costs of collection, including attorneys’ fees. Detailed billing procedures are set out in the Advertising Policies and any applicable order.

Billing

Billing is the process by which eFind calculates, invoices, and collects the amounts you owe, including charges, credits, adjustments, and Taxes. eFind measures billable events using its own systems and standards, and those measurements are the authoritative basis for Billing, subject to adjustment for Invalid Traffic and measurement corrections. Your account statements and invoices are available in the Advertising Services interface.

If you believe an invoice or charge is wrong, you must notify eFind within sixty days of the date of the invoice or charge by contacting support@efind.com with enough detail for us to investigate. If you do not dispute a charge within that period, the charge is treated as accepted, except where Applicable Law provides otherwise. Disputing a charge does not relieve you of the obligation to pay undisputed amounts on time.

Taxes

The prices for the Advertising Services do not include Taxes unless a document expressly says so. You are responsible for all Taxes associated with your purchases, other than taxes based on eFind’s net income. If eFind is required to collect Taxes, we will add them to your charges. If you are exempt from a Tax, you must provide a valid exemption certificate or other acceptable evidence before the exemption applies. If you are required by law to withhold any amount from a payment to eFind, you must pay eFind an additional amount so that eFind receives the full amount it would have received without the withholding, to the extent permitted by Applicable Law.

Refunds and Credits

Except where Applicable Law requires otherwise, amounts paid for delivered Advertising Services are non-refundable. eFind may, at its discretion, issue credits or refunds, for example to correct billing errors, to return an unused prepaid balance on Account closure, or to address confirmed Invalid Traffic. Credits are applied against future charges on your Account, have no cash value except where the law requires, and may expire under the terms on which they are granted. Promotional credits are subject to their own conditions and may be revoked if they are misused or obtained through ineligible activity. Refunds, when granted, are returned to the original payment method where reasonably possible.

Intellectual Property and Licensing

Your Ownership

As between you and eFind, you keep all Intellectual Property Rights in your Advertiser Content. Nothing in this Agreement transfers ownership of your Advertiser Content to eFind.

The License You Grant eFind

You grant eFind and its affiliates and Sub-processors a worldwide, non-exclusive, royalty-free, and sublicensable license to host, store, reproduce, format, adapt for technical delivery, transmit, display, distribute, and otherwise use your Advertiser Content solely to operate, provide, secure, improve, and promote the Advertising Services and to deliver your Campaigns as you have configured them. This license includes the right to serve your Advertisements across the Publisher Network and future formats and Devices, to create technical and reporting derivatives such as thumbnails and previews, and to use your Advertiser Content to train and improve automated review, Brand Safety, and Invalid Traffic systems. The license lasts as long as needed to provide the Advertising Services and to keep required records, and it survives to the extent necessary to honor commitments already made to Publishers and for legal or archival purposes.

Your Warranties About Advertiser Content

You represent and warrant that you own or have all rights, licenses, consents, and permissions needed to submit your Advertiser Content and to grant the license above, that your Advertiser Content and the products and services it promotes do not infringe or misappropriate any third party’s Intellectual Property Rights or other rights, and that your Advertiser Content is accurate and not deceptive.

Reservation of Rights

eFind keeps all Intellectual Property Rights in the Advertising Services, including our software, models, algorithms, interfaces, Documentation, trademarks, and the look and feel of the platform. Except for the limited rights this Agreement expressly grants you to use the Advertising Services, no rights are granted to you by implication, estoppel, or otherwise. Any Feedback you provide may be used by eFind without restriction and without obligation to you.

Prohibited Content

You may not submit, promote, or link to Prohibited Content through the Advertising Services. Prohibited Content includes, without limitation, content that is illegal or promotes illegal activity; content that infringes Intellectual Property Rights; content that is deceptive, fraudulent, or misleading, including false claims and dishonest “clickbait”; content that facilitates dishonest behavior such as fake documents, account takeovers, or academic cheating; hate speech and content that harasses, threatens, or incites violence against people based on protected characteristics; content that sexually exploits or endangers minors; adult content and sexual services except where a Policy expressly allows them under strict conditions; content that promotes self-harm or dangerous acts; content that contains Malware or that attempts to interfere with a Device, network, or the Advertising Services; content that promotes weapons, explosives, or related items in violation of Applicable Law; and content that violates the privacy or publicity rights of others. The Advertising Policies and the Acceptable Use Policy describe these categories in greater detail, and they control where they are more specific.

Restricted Industries

Some products, services, and advertising categories are Restricted Industries, which means eFind allows them only under conditions such as additional verification, certification, geographic limits, age or audience limits, mandatory disclosures, or landing-page requirements. Restricted Industries may include, among others, alcohol, gambling and games of skill, dating and relationship services, tobacco and vaping alternatives, dietary supplements, debt and credit-repair services, subscription services with negative-option billing, and data-broker or people-search services. You are responsible for knowing whether your Campaigns fall within a Restricted Industry and for meeting every applicable condition before you run. eFind may refuse a Restricted Industry Campaign in any jurisdiction, at any time.

Warning

Being approved once does not mean a Restricted Industry Advertisement is approved everywhere or forever. Conditions and eligibility can change with the law and with our Policies, and it is your responsibility to keep your Campaigns compliant.

Political Advertising

Political advertising, including advertisements about candidates, elected officials, ballot measures, elections, and matters of public political debate, is a Restricted Industry subject to additional rules. Where eFind permits political advertising, you must complete any required identity and eligibility verification, comply with all Applicable Law on election advertising and campaign finance in every jurisdiction where your Advertisement runs, and provide accurate disclosures about who paid for the Advertisement. eFind may require that political Advertisements be labeled, may retain and publish transparency information about them, and may prohibit political advertising entirely in some jurisdictions or during some periods. You are solely responsible for the lawfulness of your political Advertisements.

Healthcare and Pharmaceutical Advertising

Advertising for healthcare products and services, including medicines, medical devices, treatments, clinical services, and health-related claims, is a Restricted Industry. You must hold all licenses, registrations, and approvals that Applicable Law requires, advertise only products and services that are lawful in the places your Advertisements run, and make only claims that are truthful, substantiated, and permitted by the relevant health and consumer-protection authorities. eFind may prohibit the advertising of prescription products, controlled substances, unapproved treatments, and misleading health claims, and may require certification before healthcare Advertisements run. You must not use health-related targeting in a way that reveals or infers a User’s health condition in violation of Applicable Law.

Financial and Cryptocurrency Advertising

Advertising for financial products and services, including loans, credit, investments, insurance, and money transmission, and advertising for cryptocurrency, digital assets, and related products, is a Restricted Industry. You must hold the licenses and registrations required in each jurisdiction where your Advertisement runs, comply with all financial-services, securities, lending, and consumer-protection laws, and provide clear and non-misleading disclosures, including required risk warnings. eFind may prohibit high-risk offerings such as unregistered securities, deceptive investment schemes, and certain leveraged products, and may require certification, geographic limits, or additional verification before financial or cryptocurrency Advertisements run. Guarantees of returns, misleading pricing, and hidden fees are not permitted.

Trademark Complaints

You must have the right to use every Trademark that appears in your Advertiser Content or that you use in your targeting. eFind respects the Trademark rights of others and handles Trademark concerns under the Trademark Policy. If a rights holder submits a valid Trademark complaint about your Advertisement, eFind may investigate, ask you for evidence of your right to use the Trademark, and limit or remove the Advertisement while the matter is resolved. Trademark disputes are primarily between the Advertiser and the rights holder, and you agree to resolve them directly and to cooperate with eFind’s reasonable requests.

Copyright Complaints

You must have the right to use every copyrighted work in your Advertiser Content, including images, video, audio, and text. eFind responds to claims of copyright infringement under the DMCA Policy, which describes how to submit a notice, how to submit a counter-notice, and how eFind handles repeat infringers. If eFind receives a valid notice about your Advertiser Content, eFind may remove or disable access to the material identified in the notice, and repeated infringement may lead to Suspension or Termination of your Account.

Suspension

eFind may suspend your Account, an Authorized User, a Campaign, or the delivery of specific Advertisements, in whole or in part, with or without prior notice, if we reasonably believe that you have violated this Agreement or the Policies, that your activity poses a risk of harm, Fraud, Invalid Traffic, security compromise, or legal liability, that a payment is overdue or a payment method is invalid, or that Business Verification is incomplete or in doubt. Where practical and lawful, eFind will tell you the reason for a Suspension and how it can be resolved. Suspension does not relieve you of amounts owed for Advertising Services already delivered, and eFind may keep a Suspension in place until the underlying issue is resolved to our reasonable satisfaction.

Termination

Either party may terminate this Agreement, or you may close your Account, at any time on reasonable notice, subject to the completion of Campaigns already delivering and the settlement of amounts owed. eFind may terminate this Agreement or your Account immediately for a material breach that is not cured within a reasonable time after notice, or without a cure period where the breach cannot be cured, where required by Applicable Law, or where continued service would create a serious risk to Users, Publishers, eFind, or third parties. On termination, your right to use the Advertising Services ends, any prepaid but unused balance is handled as described under Refunds and Credits, and the provisions of this Agreement that by their nature should survive, including those on payment, intellectual property, confidentiality, indemnification, limitation of liability, disclaimers, and dispute resolution, continue in effect.

Indemnification

You agree to defend, indemnify, and hold harmless eFind and its affiliates, and their officers, directors, employees, and agents, from and against any third-party claims, demands, actions, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, that arise out of or relate to your Advertiser Content, your Campaigns, your products or services, your use of the Advertising Services, your violation of this Agreement or the Policies, your violation of Applicable Law, or your infringement or misappropriation of any third party’s rights. eFind will give you reasonable notice of a claim, allow you to control the defense with counsel reasonably acceptable to eFind, and cooperate at your expense. You may not settle a claim in a way that imposes an obligation on eFind or admits fault on eFind’s behalf without eFind’s prior written consent.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EFIND AND ITS AFFILIATES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE ADVERTISING SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF EFIND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF EFIND AND ITS AFFILIATES AND SUPPLIERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE ADVERTISING SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID EFIND FOR THE ADVERTISING SERVICES IN THE THREE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the exclusions and limits above may not apply to you. In that case, eFind’s liability is limited to the smallest amount permitted by Applicable Law. The limitations in this section apply to the fullest extent permitted by law even if a limited remedy fails of its essential purpose, and they reflect a reasonable allocation of risk between the parties.

Disclaimers and Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ADVERTISING SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

eFind does not warrant that the Advertising Services will be uninterrupted, secure, error-free, or free of harmful components, that any Campaign will achieve a particular result, or that metrics, forecasts, or recommendations will be accurate. eFind does not control and does not endorse Publisher Content or the contexts in which Advertisements appear, and while eFind provides Brand Safety controls, you are responsible for setting them and for the outcomes of your choices. Any advice or information you obtain from eFind does not create a warranty not expressly stated in this Agreement.

Dispute Resolution

Informal Resolution

Before starting any formal proceeding, you agree to first try to resolve the dispute informally. You must send a written description of the dispute, including the facts and the relief you seek, to eFind at the notice address below or to support@efind.com. The parties will then negotiate in good faith for at least thirty days. Many concerns can be resolved quickly this way, and this step is a condition to bringing a formal claim.

Venue

If the dispute is not resolved informally, it will be brought exclusively in the state or federal courts located in Tarrant County, Texas. Each party consents to the personal jurisdiction of those courts and waives any objection based on inconvenient forum. Each party also waives any right to a jury trial and, to the extent permitted by Applicable Law, agrees that claims will be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding. Nothing in this section prevents either party from seeking injunctive or other equitable relief in those courts to protect its Intellectual Property Rights or Confidential Information.

Applicable Law

This Agreement and any dispute arising out of or relating to it or to the Advertising Services are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and by applicable United States federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. This choice of law does not deprive you of the protection of mandatory consumer-protection laws of your place of residence where those laws apply and cannot be waived by contract.

Future Products

eFind is continually developing new advertising and platform features, which may include Search, Shopping, Commerce, analytics, payments, mobile, voice, connected-device, and AI-powered offerings. When you use a new feature, this Agreement applies to it unless eFind presents different or additional terms for that feature, in which case those terms apply to that feature in addition to this Agreement. New features may be offered in beta or preview form, may change or be withdrawn, and may carry their own eligibility requirements and limitations.

AI-Assisted Advertising

eFind may offer AI-Assisted Advertising features that use artificial intelligence or machine learning to help you create, optimize, target, price, or measure Campaigns, such as automated bidding, creative generation, audience modeling, and predictive performance tools. Your use of these features, and any AI Content you generate with them or submit through the Advertising Services, is governed by the AI Content Policy in addition to this Agreement. You remain responsible for all Advertiser Content produced with AI assistance, including its accuracy, its lawfulness, and its compliance with the Advertising Policies, and you must make any disclosures that Applicable Law or the AI Content Policy require. Outputs of AI systems can be imperfect, and you must review them before you rely on or publish them.

API Usage

If eFind makes an API available, you may use it only in accordance with its Documentation, this Agreement, and any additional API terms or credentials we issue. You must keep API keys and credentials secure, use them only for permitted purposes, and not exceed the rate limits, quotas, or scopes we set. You must not use the API to circumvent review, Billing, Brand Safety, or Invalid Traffic controls, to scrape or harvest data beyond what the API returns for your own Campaigns, or to build a service that competes with the Advertising Services by replicating them. eFind may monitor API use, change or deprecate the API on reasonable notice, and suspend API access that threatens the security, integrity, or performance of the Advertising Services.

Security

eFind maintains administrative, technical, and physical safeguards designed to protect the Advertising Services and the data within them, as described in the Security Policy. You are responsible for the security of your own systems, credentials, and Authorized Users, for using strong authentication where offered, and for promptly reporting any suspected security incident affecting your Account to support@efind.com. You must not attempt to probe, scan, or breach the security of the Advertising Services, interfere with their normal operation, or access data that does not belong to you. Each party will cooperate reasonably with the other in responding to a security incident that affects the Advertising Services.

Confidentiality

Each party may receive Confidential Information from the other in connection with the Advertising Services. The receiving party will use the disclosing party’s Confidential Information only to perform under this Agreement, will protect it with at least the same care it uses for its own confidential information of a similar nature and no less than reasonable care, and will not disclose it to others except to its personnel and Sub-processors who need it and who are bound by confidentiality obligations at least as protective as these. These obligations do not apply to information that is or becomes public without breach, was already known without a duty of confidence, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information if required by law or legal process, provided it gives reasonable notice where permitted so the other party can seek protection.

Force Majeure

Neither party is liable for any failure or delay in performing its obligations, other than obligations to pay money, that results from a Force Majeure event beyond its reasonable control, such as natural disasters, war, terrorism, civil unrest, labor disputes, utility or network failures, and governmental actions. The affected party will make reasonable efforts to resume performance as soon as practical. If a Force Majeure event continues for a long period, either party may suspend or terminate the affected Services in a fair and reasonable way.

Notices

eFind may give you notices through the Advertising Services interface, by email to the address on your Account, or by other reasonable means, and such notices are effective when delivered. You are responsible for keeping your contact and billing information current. Legal notices to eFind must be in writing and sent to eFind LLC, 2451 West Grapevine Mills Circle, Suite 324, Grapevine, TX 76051, United States, with a copy to support@efind.com. You may reach eFind support by phone at 1-214-444-8126. A notice sent by a recognized courier is effective on delivery, and a notice sent by email is treated as delivered when sent, absent evidence that it was not received.

Assignment

You may not assign or transfer this Agreement, or any of your rights or obligations under it, without eFind’s prior written consent, and any attempt to do so without consent is void. eFind may assign this Agreement, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, on notice to you. This Agreement binds and benefits the parties and their permitted successors and assigns.

Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary so that the rest of this Agreement remains in full force and effect. The parties intend that a court give effect to the original intent of any modified provision as closely as the law allows.

No Waiver

eFind’s failure to enforce a provision of this Agreement, or any delay in doing so, is not a waiver of that provision or of eFind’s right to enforce it later. A waiver is effective only if it is in writing and signed by an authorized representative of eFind, and it applies only to the specific situation for which it is given.

Entire Agreement

This Agreement, together with the Advertising Policies, the other Policies it incorporates, the Terms of Service, and any order or addendum you have accepted, is the entire agreement between you and eFind about the Advertising Services, and it replaces any earlier agreements or understandings on the same subject. If there is a conflict, a signed order controls over this Agreement for the matter it governs, this Agreement controls over the general Terms of Service for the Advertising Services, and the Advertising Policies control where they are more specific about advertising conduct. eFind may update this Agreement and the Policies from time to time, and your continued use of the Advertising Services after an update takes effect means you accept the updated terms.

Note

You should read this Agreement together with the Advertising Policies and the Privacy Policy. Where a Policy is more specific about a particular topic, that Policy governs that topic.
